Terms of Service

Welcome to Region Pilot. These Terms of Service ("Terms") govern your use of the Region Pilot software, website, and related services (collectively, the "Service"). The Service is provided by Borah Logistics LLC, an Alabama limited liability company ("we," "us," or "our").

By accessing or using the Service, you ("you," "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.


1. The Service

Region Pilot is a software-as-a-service product that helps regional sales managers and brand-network operators manage prospective and active dealer relationships, sales territories, and pipeline activity. The Service includes hosted application access at regionpilot.com, related APIs, mobile interfaces, and any associated documentation.

We may change, add to, or remove features from the Service from time to time. Material changes that reduce functionality you've already paid for will be communicated in advance.

2. Eligibility and Account Registration

To use the Service you must be at least 18 years old and capable of forming a binding contract. By creating an account you represent that you meet these requirements.

3. Subscriptions, Billing, and Refunds

Some features of the Service require a paid subscription. By starting a paid plan you authorize us (through our payment processor, Stripe, Inc.) to charge your payment method on a recurring basis until you cancel.

5. Your Content and Data

You own your data. Information you upload, enter, or generate within the Service ("Customer Data") remains yours. You grant us a limited license to host, copy, display, and transmit that data solely as needed to provide and improve the Service for you.

We will not sell, license, or share Customer Data with third parties except: (a) with sub-processors required to operate the Service (see Privacy Policy), (b) with your consent, or (c) when required by law.

6. Intellectual Property

We own or license the Service, including all software, design, documentation, trademarks, and content (other than Customer Data). These Terms grant you a non-exclusive, non-transferable, revocable right to use the Service while your account is active and in good standing.

You may not remove copyright, trademark, or other notices from the Service.

7. Service Availability

We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. We may schedule maintenance or experience unplanned downtime due to factors outside our control (network outages, third-party service interruptions, security incidents). We will use commercially reasonable efforts to minimize downtime and will not provide refunds or credits for outages unless required by an applicable Service Level Agreement, which is not currently part of these Terms.

You may close your account at any time from account settings.

We may suspend or terminate your account immediately if:

Upon termination: your right to use the Service ends, your data may be retained for up to 30 days to allow recovery, and after that period your data may be permanently deleted. We have no obligation to preserve Customer Data after this window.

Some jurisdictions don't allow these limitations; in those cases our liability is limited to the maximum extent permitted.

11. Indemnification

You agree to defend, indemnify, and hold harmless us and our officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or law, (b) your Customer Data, (c) your violation of any third party's rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. Exclusive jurisdiction and venue for any dispute will be the state and federal courts located in Houston County, Alabama, and you consent to personal jurisdiction in those courts.

Before bringing a formal claim, you agree to first contact us at support@regionpilot.com and attempt to resolve the dispute in good faith for at least 30 days.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or in-product notification at least 14 days before they take effect. Continued use of the Service after changes take effect means you accept the new Terms. If you don't accept, your option is to cancel your account before the changes take effect.
